1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Flyocs Technologies Pvt Ltd ("Flyocs," "we," "us," or "our") governing your access to and use of the Flyocs export compliance platform, including our website, applications, tools, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Represent a legitimate business entity engaged in or planning export activities
• Hold valid business registrations (GST, IEC, etc.) as applicable
• Comply with all applicable laws and regulations in India and your jurisdiction
• Not be prohibited from using our Services under Indian or international law

3. Account Registration & Security

3.1 Account Creation

You must create an account to use our Services. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your team members with account access comply with these Terms

3.3 Account Verification

We may verify your identity and business credentials through government databases (ICEGATE, DGFT, etc.). We reserve the right to suspend accounts pending verification.

4. Services Provided

Flyocs provides:

• Document Generation: Automated creation of export documentation (invoices, packing lists, certificates of origin, etc.)
• Compliance Verification: HS code validation, SCOMET screening, regulatory compliance checks
• Trade Finance: Connection to verified lenders for export financing (subject to lender approval)
• Shipment Tracking: Real-time monitoring of export shipments
• Analytics & Reporting: Business intelligence and compliance analytics
• Integrations: Connections to accounting software, ERPs, and logistics platforms

5. Your Responsibilities

5.1 Accurate Information

You must:

• Provide accurate product descriptions, HS codes, and shipment details
• Verify all auto-generated documents before submission to authorities
• Ensure your exports comply with DGFT regulations, FEMA, and applicable laws
• Obtain all necessary licenses, permits, and approvals

5.2 Prohibited Uses

You may NOT use our Services to:

• Export prohibited or restricted items without proper authorization
• Evade customs duties, taxes, or regulatory requirements
• Engage in fraudulent activities or money laundering
• Violate any export control laws, sanctions, or embargoes
• Upload malicious code, viruses, or attempt to breach our security
• Reverse engineer, decompile, or extract our source code
• Resell or redistribute our Services without authorization

6. Fees & Payment

6.1 Subscription Plans

Our pricing is available at flyocs.com/pricing. We offer monthly and annual subscriptions. Prices exclude applicable GST.

6.2 Payment Terms

• Payments are due in advance on your billing cycle date
• We accept credit cards, debit cards, UPI, and bank transfers
• Failed payments may result in service suspension
• You authorize us to charge your payment method automatically

6.3 Refunds

We offer a 14-day money-back guarantee on annual plans. Monthly subscriptions are non-refundable after the first 14 days. Unused shipment credits do not roll over and are non-refundable.

6.4 Price Changes

We may change our pricing with 30 days' notice. Changes will apply to your next billing cycle. Continued use after price changes constitutes acceptance.

7. Intellectual Property

7.1 Our IP

All content, features, functionality, software, algorithms, and branding (including "Flyocs" trademark) are owned by Flyocs and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Data

You retain ownership of all data you upload to our platform (shipment details, invoices, product information, etc.). You grant us a license to use this data solely to provide our Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide become our property, and we may use them without compensation or attribution.

8. Warranties & Disclaimers

8.1 Service Quality

We strive for 99.9% uptime and 99.8% accuracy in our compliance checks. However, we do not guarantee error-free or uninterrupted service.

8.2 "As Is" Provision

8.3 No Legal Advice

Flyocs does not provide legal, tax, or customs advice. Our platform is a tool, not a substitute for professional advisors.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Flyocs shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for penalties, fines, or legal consequences arising from your use of our Services
• You indemnify us against claims arising from your violation of these Terms or applicable laws

10. Term & Termination

10.1 Term

These Terms remain in effect while you use our Services.

10.2 Termination by You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

10.3 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account shows fraudulent or suspicious activity
• You fail to pay subscription fees
• Required by law or regulatory authorities

10.4 Effect of Termination

Upon termination, you lose access to the platform. We may retain your data for 7 years for regulatory compliance. You may request a data export before termination.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of India. The courts of Bangalore, Karnataka shall have exclusive jurisdiction.

11.2 Arbitration

Disputes shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be settled through arbitration in Hyderabad under the Arbitration and Conciliation Act, 1996.

12. Miscellaneous

12.1 Changes to Terms

We may update these Terms with 30 days' notice. Material changes will be communicated via email. Continued use after changes constitutes acceptance.

12.2 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

12.3 Entire Agreement

These Terms constitute the entire agreement between you and Flyocs regarding the Services.

12.4 Assignment

You may not assign these Terms without our consent. We may assign them freely.
